TERMS AND CONDITIONS
KOSHER THERAPY
FIRST: CONTRACTUAL RELATIONSHIP
1.1 Los siguientes son los Términos y Condiciones ("TyC") que rigen el acceso y uso de nuestra plataforma en línea (la “Plataforma”) a través del cual los usuarios (“Usuarios”) de la aplicación móvil o la página web de Kosher Therapy (ambas como la “Aplicación”) pueden solicitar, organizar, agendar y tener una consulta o sesión médica, psicológica, terapéutica o de cualquier área de salud en general, a distancia a través de mecanismos tecnológicos con terceros proveedores particulares independientes, conforme a la afiliación que Kosher Therapy mantiene con éstos (“Terceros Proveedores”).
1.2 By accessing and using the Platform you (the "User") agree to be legally bound by these T&C, being considered a contract for all legal purposes.
SECOND: SERVICES.
2.1 In accordance with these T&C, the Services provided by Kosher Therapy correspond only to make available the Platform for the purpose that the Client has access to connect with any of the Third Party Providers of the specialty required and schedule a consultation or session to be held remotely through digital mechanisms provided by the same Platform Kosher Therapy, or alternative applications such as zoom, meet, video call, or any similar to be agreed between the Third Party Provider and the User.
2.2 It is hereby stated for the record that the Services provided by virtue of this instrument are for the personal, sole and exclusive use of the User, and under no circumstances may they be used by the User for commercial purposes.
2.3 Also, the Client agrees and declares to know in this act that Kosher Therapy does not provide health care services or health of any kind, medical care procedures, diagnosis or prescriptions. Consequently, the Client agrees and declares to know in this act, that the services just referred to are provided by Third Party Providers independent of Kosher Therapy and that there is no legal or employment relationship between them.
2.4 The Platform and the use of the Services does not replace face-to-face consultations or therapies required by Users and should not be considered as a mechanism to delay any medical consultation that requires face-to-face review by a medical health care provider. The platform does not replace urgent care or care that requires immediate face-to-face assistance, and is not useful if any official documentation or approvals are required for legal or other purposes. Consequently, the Platform is not a suitable or qualified service for people in any life-threatening situation or people with self-harming thoughts.
2.5 Additionally, Apple Inc, Google Inc, Microsoft Corporation or BlackBerry Limited, online storage platforms, among others and/or their corresponding subsidiaries or international affiliates will be third party beneficiaries to this agreement if you access the Services using Apps developed for iOS, Android, Microsoft Windows mobile devices, respectively. These third party beneficiaries are not a party to this agreement and are not responsible for the provision or support of the Services in any way. Your access to the Services using these devices is subject to the terms and conditions set forth in the applicable third party beneficiaries' terms of service.
THIRD: USE OF SERVICES
3.1 User Accounts.
To use the Services, the Client must register and maintain an active personal user account of the Services (the "Account"), associated with your name, identity card or respective identification document, address, phone number and any personal information required by the Platform, as well as the data of a valid payment method for payment of the Services. Consequently, by this act, and by virtue of registration on our Platform, you expressly consent to provide your personal data and that these are stored by Kosher Therapy only for the purpose of providing the Services properly.
The Customer agrees to provide information in your Account in a truthful, accurate, complete and updated, otherwise the Platform may deny access to the use of the Services, or Kosher Therapy may terminate the existing contractual relationship under these T&Cs.
The Customer shall be solely responsible for all activity that occurs on his Account and for the data entered, and agrees to keep his Account username and password secure and secret at all times.
3.2 Requirements and conduct of Users.
(a) Users registered on the Platform must be over 18 years of age.
(b) Notwithstanding the foregoing, minors under the age of 18 may register to use the Platform, provided they have the express authorization of an adult. In this case, it will be the adult responsible for the minor who will be solely responsible for the use that the minor gives to the Platform, and any act contrary to these T&C that is performed by the minor, shall be deemed performed for all purposes by the responsible adult.
(c) The User may under no circumstances authorize third parties to use, assign or transfer in any way his/her User Account, which is for personal and non-transferable use.
(d) The User shall use the Platform for legitimate purposes and in accordance with the provisions of this instrument, and the User shall be solely responsible for any damage caused as a result of non-compliance with this clause.
3.3 Network Access and Devices.
El Cliente será el único responsable de obtener el acceso a la red de datos necesario para acceder a la Plataforma y utilizar los Servicios. En este sentido, se deja constancia que podrían aplicarse las tarifas y tasas de datos y mensajes de su red móvil si el Cliente accede o utiliza los Servicios desde un dispositivo inalámbrico y en tal caso, el Cliente será responsable de dichas tarifas y tasas. El Cliente será responsable de mantener actualizado el hardware que sea compatible o los dispositivos necesarios para acceder a la Plataforma y utilizar los Servicios y Aplicaciones y cualquier actualización de estos. Kosher Therapy no garantiza que los Servicios, o cualquier parte de estos, funcionen en cualquier hardware o dispositivo particular. Además, los Servicios podrán ser objeto de disfunciones o retrasos inherentes al uso de Internet y de las comunicaciones electrónicas.
FOURTH: THIRD PARTY PROVIDERS.
4.1 Third Party Providers shall be those individual health care professionals accredited by a respective professional title recognized by the State or Country in which it has been issued.
4.2 Third Party Providers are independent providers of Kosher Therapy, and do not maintain any employment relationship with Kosher Therapy. It is also noted that they are not agents or representatives of Kosher Therapy.
FIFTH: MODIFICATIONS OR INTERRUPTIONS OF THE PLATFORM.
5.1 By the present act, the Client accepts and declares to know that Kosher Therapy may modify, suspend or discontinue the use and access to the Platform, any part of the Platform, either for all Users or for the Client, at any time giving the respective notice whenever possible, considering that the Platform depends on external suppliers and various factors beyond the efforts and responsibility of Kosher Therapy.
5.2 Also, the Client agrees and declares to know that Kosher Therapy will not be liable for any loss or damage caused by any of the actions mentioned in the preceding paragraph. The Platform depends on various factors, such as software, hardware and tools, whether ours or those of our contractors and suppliers.
5.3 In the event that the Client does not agree with the changes and modifications to the Platform, the Client must terminate access to the Platform.
SIXTH: PAYMENTS.
6.1 Your use of the Platform may result in charges for the delivery of the Services that you receive from a Third Party Provider each time a consultation or session is scheduled through the Platform (the "Charges"). In this case, the Third Party Provider will charge applicable taxes in your jurisdiction or abroad and applicable by law.
6.2 Once a consultation or session is scheduled through the use of the Platform, Kosher Therapy, as a limited collection agent, will facilitate payment of applicable Fees and taxes on behalf of the Third Party Provider as applicable. Payment of applicable Fees and taxes shall be deemed as if payment were made directly by Client to the Third Party Provider in its jurisdiction or abroad, as applicable.
6.3 Asimismo, el Cliente acepta y declara que el pago se realizará a través de tarjetas de crédito u otros medios de pago (los "Medios de pago") y que en relación a éstos está debida y totalmente autorizado a usar y disponer, y que toda la información relacionada con el pago que proporcionó y proporcionará en el futuro, a través de la Plataforma es veraz, precisa, actual y correcta.
6.4 You agree to pay all fees and Charges associated with your Account in a timely manner and in accordance with the fee schedule posted on the Platform. By providing us with your Means of Payment, you authorize and mandate us to bill and collect from you through such Means of Payment.
SEVENTH: PERSONAL DATA REGISTERED IN THE PLATFORM.
7.1 The collection and automated processing of personal data is intended to maintain a smooth relationship between the Client, the Platform and Kosher Therapy, as well as the management, administration, provision, expansion and improvement in the provision of the Services, sending updates of the Services and sending by traditional and electronic means of technical, operational and commercial information about them.
7.2 Kosher Therapy does not sell, assign, or transfer in any way the personal data of users to unrelated third parties. Kosher Therapy may only transfer the personal data of users to entities affiliated with Kosher Therapy, unless the Client expressly denies authorization and always with full respect for the legal regulations governing in Chile. For these purposes it shall be understood that "Affiliate" of Kosher Therapy is any other person who directly or indirectly controls, is controlled by, or is under direct or indirect common control of Kosher Therapy. For purposes of this definition, "Control" has the meaning given to such expression in Articles 97 et seq. of Law No. 18,045 of the Securities Market Law.
7.3 The Client shall enjoy all the rights recognized by the legislation in force in the territory of Chile, and also those granted in these T&Cs. The User will have at all times the rights of information, rectification and cancellation of personal data in accordance with Law No. 19.628 on Protection of Privacy.
EIGHTH: RESPONSIBILITY.-
8.1 Kosher Therapy is responsible and liable only for the provision of the Platform, its operation and the commitments made in the second preceding clause, but in no case is obliged or less responsible for health care and / or provision of medical services, diagnoses, treatments, opinions, conclusions or medical reports, which will be provided directly by the Third Party Providers, who will respond by their own lex artis and by the regulations of each jurisdiction where the Third Party Provider resides and officiates. In this regard, the parties expressly agree from now on, that Kosher Therapy will not respond in any case for this type of benefits, expressly releasing the Client Kosher Therapy from any obligation to compensate direct or indirect damages of any nature that has as its cause the provision of health or medical by Third Party Providers, including, but not limited to any act, omission, opinion, response, advice, suggestion, information and / or service of any Third Party Provider, such as delay or failure to perform the medical consultation as a result of causes beyond the reasonable control of Kosher Therapy.
8.2 Kosher Therapy shall not be responsible for and makes no warranty regarding the reliability, timeliness, quality, suitability or availability of the Services requested through the use of the Platform, nor that the Services will be uninterrupted or error-free. Accordingly, Kosher Therapy does not warrant the quality, suitability, safety or ability of the Third Party Providers. Customer hereby agrees and represents that all risk arising from its use of the Platform and any services or goods ordered in connection therewith shall be solely its own, to the fullest extent permitted by applicable law.
8.3 Further, Client declares and agrees that Kosher Therapy shall not be liable for any direct, indirect, incidental, special, exemplary, punitive or consequential damages, including lost profits, loss of data, personal injury or property damage, or damages relating to, or in connection with, or otherwise arising out of any use of the Platform or as a result of: (i) the use of or reliance on the Platform or your inability to access or use the Platform; or (ii) any transaction or relationship between Customer and/or Users and any Third Party Provider.
8.4 The User or his wards in charge who make use of the Platform, may not under any circumstances record any consultation or session, by recording images, sounds, texts, or other encrypted language or not, which are made through the Platform, or that, not being made through the Platform, has been arranged under it. It is expressly forbidden to commercialize or dispose of any recording of images, sounds, texts of the sessions or consultations.
8.5 Customer in turn, agrees and covenants not to make any use of the Platform to post, send or deliver any of the following: (a) unsolicited e-mail and/or advertising or promotion of goods and services; (b) malicious software or code; (c) illegal, harassing, privacy-invading, abusive, threatening, contrary to morality and decency, racist or potentially harmful content; (d) any content that infringes a third party right, including intellectual property rights; (e) any content that may cause harm to a third party; (f) any content that may constitute, cause or encourage criminal action or violate any applicable local or international law, statute, ordinance, rule, regulation or code of ethics in connection with your use of the Platform and your relationship with Third Party Providers and Kosher Therapy. Users shall hold Kosher Therapy harmless against any claims, losses, causes of action, demands, liabilities, costs or expenses including, without limitation, litigation and attorneys' fees and expenses arising out of or related to Users' breach of the foregoing obligations.
8.6 This provision shall survive the termination or expiration of this Agreement.
NINTH: COMMUNICATIONS.
By virtue of this agreement, the Client agrees that Kosher Therapy may send notices or other communications with respect to this agreement or any aspect of the Platform by email to the email address that is registered therein, by regular mail or online, and by telephone at the number indicated by the User. The date of receipt shall be deemed to be the date on which such notice is given.
TENTH: APPLICABLE LAW AND JURISDICTION.
The terms of this agreement shall be subject to and interpreted in accordance with the laws of the Republic of Chile. Likewise, the Parties submit to the jurisdiction and competence of their Ordinary Courts of Justice.
ELEVENTH: MISCELLANEOUS: -
(a) Non-transferability: Neither party may assign this agreement, or any rights or obligations hereunder, without the prior written consent of the other party, except as provided in these T&Cs.
(b) Headings: The paragraph headings in this Agreement are for convenience only and shall not apply in the interpretation of this Agreement.
(c) Separability: If any provision of this agreement is held by a court of competent jurisdiction to be illegal, invalid, unenforceable or contrary to law, the remaining provisions shall remain in full force and effect.
